These Terms of Use (“Terms”) are between and “You”, the person using Leafco Labs products, materials, website, and Customer Service Department (“Services”). By using the Services you accept the Terms. Leafco Labs may at any time revise these Terms of Use by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then-current Terms of Use. The term “Affiliates” as used in this Terms of Use Policy refers to related companies or brands.

TERMS OF PURCHASE

At the time of purchase, you may have been offered discounts based on the total purchase price for the Service. The Fee for the Service was stated to you at the time of purchase. The Fee is charged to the credit card you provide at the time of purchase.

If you use a credit card, you may be subject to a preauthorization at the time you place your order. The preauthorization is not a charge to the credit card. However, the then applicable Services may be reserved against your available credit card limit, including taxes, if any. Contact your credit card issuing financial institution for details.

Leafco Labs reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. No advice or information, whether oral or written, obtained by you from Leafco Labs or through the Services shall create any warranty not expressly stated in the Terms of Use.

LIMITATION OF LIABILITY

Leafco Labs is not liable for ANY damages of ANY kind that result from the use of the Services. This applies to alleged liability on ANY basis, even if Leafco Labs has been advised of the possibility of such damage.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions Leafco Labs liability, if any, shall be limited to the extent permitted by law.

INDEMNIFICATION

Upon a request by Leafco Labs you agree to defend, indemnify, and hold harmless Leafco Labs and its affiliates, and their employees, contractors, agents, representatives, officers, and directors from all liabilities, claims, and expenses, including without limitation attorneys’ fees that arise from your use or misuse of this site. Leafco Labs reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Leafco Labs in asserting any available defenses.

CHOICE OF LAW AND FORUM

These Terms are governed by laws and regulations of the State of California. Any action to enforce or interpret them shall be brought and maintained under the exclusive jurisdiction of the Alameda Courts. The parties irrevocably submit to the jurisdiction of said courts and waive all objections thereto.

SEVERABILITY AND INTEGRATION

Unless otherwise specified herein, these Terms of Use and the Privacy Policy constitute the entire agreement between you and Leafco Labs and its Affiliates with respect to this site and the Services and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Leafco Labs with respect to the Services.
